Meals on Wheels of Sarasota is a nonprofit organization dedicated to empowering seniors to live independently with dignity, health and connection. Strong board involvement is required to meet organizational goals. Each board member is equally responsible for the following roles and responsibilities.
LEGAL DUTIES:
Duty of Care: Each board member has a legal responsibility to participate actively in making decisions on behalf of the organization and to exercise his or her best judgment while doing so. This requires preparing for and attending all board meetings.
Duty of Loyalty: Each board member must put the interests of the organization before their personal and professional interests when acting on behalf of the organization in a decision-making capacity. The organization’s needs come first.
Duty of Obedience:Board members bear the legal responsibility of ensuring that the organization complies with the applicable federal, state, and local laws and adheres to its mission.
PRINCIPAL FUNCTIONS:
Organizational Compliance: Ensure that the programs and activities of MOWS conform to the purpose set forth by the Articles of Incorporation and Bylaws.
Mission Advocacy: Advocate on behalf of the organization using all influence, talent, and goodwill to secure meaningful support for the mission and vision of the organization.
Leadership & Governance: Participate in all Board meetings in person or via electronic means (e.g. telephone or videoconference) unless previously excused by the Board President. Provide overall leadership and supervision of the strategies, activities, and policies/procedures for the organization.
Financial Oversight: Secure and ensure adequate financial resources for the organization.
Financial Commitment: Make an annual personal gift at the highest level of ability as an example for others to follow, with a Board goal of 100% participation.
Personal Commitment: Keep informed about the mission, vision, policies, critical issues, and its connection to the community through active participation within the organization and conscientious connection outside the organization.
Donor Development: In partnership with the staff, participate in the confidential identification, evaluation, cultivation, and solicitation of prospective donors.
Event Engagement: Attend and participate in major events related to campaigns, prospect cultivation, volunteer training, awareness, kickoff events, and progress meetings.
Committees: Serve on at least one committee and take on special assignments as needed. Support the Identification, cultivation, and mentorship of potential committee members per the Governance committee’s procedures and policies.
Ambassadorship: Help broaden community support with participation as a host or participant for awareness, cultivation, and fundraising events.
Expertise: Provide advice and expertise to the professional staff at the request of the Board President or the Executive Director but will avoid interfering in day-to-day management activities and decisions.
